Liberty Media and Sirius XM Complete Split-Off and Merger, Forming Independent Sirius XM Holdings
Liberty Media Corporation (Nasdaq: FWONA, FWONK, LLYVA, LLYVK) and Sirius XM Holdings Inc. (Nasdaq: SIRI) have announced the successful completion of the split-off of Liberty Sirius XM Holdings Inc. (“New Sirius”) and its subsequent merger with Sirius XM Inc. (“Old Sirius”). These transactions were finalized today, September 9, 2024, with the split-off completed at 4:05 p.m. and the merger at 6:00 p.m. (New York time). As a result, New Sirius is now an independent public company, renamed Sirius XM Holdings Inc.
Starting on Tuesday, September 10, 2024, Sirius XM Holdings will trade under the Nasdaq symbol “SIRI” with a single outstanding series of common stock. Following the merger, Sirius XM Holdings has 339,133,937 shares outstanding, with former Liberty SiriusXM common stockholders holding approximately 81% and former minority stockholders of Old Sirius owning the remaining 19%.
Liberty Media’s Formula One and Liberty Live common stocks will continue trading under their existing symbols.
